Acceptance of Terms

By accessing this website, purchasing a product or service, or otherwise using the services of SBBIG, you agree to be bound by these Terms and Conditions and any amendments made to them. Do not use our website or services if you do not agree to all terms stated here.

 

Service Description

SBBIG (SBBI Group) provides business consulting and advisory services related to strategic planning, market expansion, trade engagement, and other solutions described on our website or proposal documents. We aim to tailor our services to each client’s specific needs and goals.

The scope of work, deliverables, pricing, timeline, and other service details will be outlined in a project proposal or contract prior to commencing services. We retain the right to refuse service for any reason.

 

Ownership and Use

SBBIG retains full ownership and rights to all deliverables, products, materials, intellectual property, and methodologies we provide, unless otherwise agreed in writing. You may use paid-for deliverables within your organisation for internal purposes only.

 

Confidentiality

Each party agrees not to disclose the other’s proprietary or confidential information without prior written consent. Confidential information includes any materials marked confidential, as well as unpublished business, technical, or financial information.

 

Payment and Billing

Clients agree to pay for services as outlined in project proposals and contracts. First-time clients are required to pay 50% of fees upfront before work commences. Invoices are issued monthly or upon completion of project milestones. Payment is due within 15 days of invoice date.

Overdue invoices may incur 2% interest per month or the maximum allowable by law. Clients are responsible for all reasonable expenses and attorney fees incurred while collecting payment.

 

Term and Termination

These terms are ongoing until termination by either party. Clients may terminate services with 10 days written notice but remain responsible for paying any outstanding fees for work completed. SBBIG may terminate for any reason with 15 days’ notice.

All rights granted by these terms will immediately cease upon termination. However, confidentiality, ownership, and limitation of liability clauses shall survive termination. There are no refunds for early termination unless required by law.

 

Revisions

We reserve the right to update these terms of service periodically without prior notice. Updated versions will be posted online. Continued use of our services after any change constitutes acceptance of revisions. If you do not agree to the modified terms, you may request termination of services.

 

No Warranties

We provide services on reasonable effort basis. No specific result is assured or guaranteed. We disclaim any warranties of merchantability, fitness for particular purpose, accuracy, and non-infringement. Use all deliverables at your own discretion and risk.

 

Limitation of Liability

SBBIG shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from use of services or inability to gain access, including damages for loss of profits, revenue, data, or use.

Our maximum aggregate liability for direct damages is limited to the amount paid for relevant services in past 12 months. This applies regardless of legal theory and even if parties were aware of possibility of such damages.

 

Indemnification

Clients agree to fully indemnify, defend, and hold harmless SBBIG and our affiliates, directors, officers, agents, and employees from and against any claims, damages, liabilities, losses, government proceedings, fines, or expenses (including attorneys’ fees) related to the client’s use of services or violation of these terms.

 

Governing Law

These terms shall be governed exclusively by the laws of the United Kingdom without regard to conflict of law rules. Any disputes or legal proceedings shall take place in the courts of United Kingdom

 

Severability

If any provision of these terms is determined to be invalid or unenforceable, the remaining provisions shall still apply to maximum extent possible. Invalid terms will be modified or partially enforced to the extent necessary.

 

Changes to Terms

SBBIG reserves the right to modify these terms at any time. Updated versions will be posted on our website. Continued use of services after changes constitutes acceptance. If you do not agree to revised terms, you may request termination of services.
